2.1 Definitions

“Agreement” These Terms together with the Member Registration Agreement, RUO Disclaimer, Privacy Policy, and all other policies published on this website.

“Member” A natural person or corporate entity that has completed the registration process and been approved by the Company.

“Order” A confirmed request by a Member to purchase one or more Products.

“Products” Research Compounds and any bundled materials (including BAC Water) sold through the website, as listed in Schedule A.

“BAC Water” Bacteriostatic Water supplied as a bundled accessory with Research Compounds or sold as a standalone product.

“Research Use” Use exclusively for in vitro or in vivo scientific research in a controlled laboratory environment, not involving human subjects.

“Website” The Peptivex platform accessible at http://www.peptivex.com and any associated subdomains or applications.

2.2 Eligibility

Only approved Members may place Orders. To be eligible, you must:

• Be at least 21 years of age;

• Hold a current and valid professional qualification, research licence, or institutional

affiliation as declared at registration;

• Have completed and passed the Company’s Member Verification process; and

• Not be located in a jurisdiction where the possession or use of any ordered Product

is prohibited by law.

2.3 Orders

2.3.1 Order Placement

All Orders are placed through the Website and are subject to acceptance by the Company.

An Order is not confirmed until the Company issues an Order Confirmation by email. The

Company reserves the right to refuse, cancel, or place conditions on any Order at its sole

discretion, including where:

The Order appears inconsistent with legitimate research use (e.g. excessive quantity

for a stated research purpose);

• The Member’s declared credentials cannot be verified;

• The delivery address falls within a jurisdiction where supply may be restricted; or

• Payment is not received or is disputed.

2.3.2 Order Limits

A maximum of ten (10) units of Research Compounds may be ordered per Order, in any

combination of Products. This limit applies regardless of the number of Products selected.

The Company may amend this limit at any time by updating these Terms.

2.3.3 BAC Water

One (1) unit of BAC Water is included at no charge with each Research Compound ordered.

BAC Water is also available for purchase as a standalone Product. BAC Water is supplied

for laboratory reconstitution purposes only and is subject to the same RUO restrictions as all

other Products.

2.4 Pricing & Payment

All prices are stated in Malaysian Ringgit (RM) and are inclusive of applicable taxes unless

otherwise stated. Prices for Singapore customers are denominated in RM; currency

conversion is at the buyer’s risk. The Company reserves the right to amend pricing at any

time without prior notice; however, Orders already confirmed at the time of amendment will

be fulfilled at the price stated in the Order Confirmation.

Payment is due in full at the time of Order placement. The Company accepts major credit

and debit cards via its secure high-risk payment processing partner. No payment card details

are stored on the Company’s servers. The Company does not currently accept bank

transfer, cash, or cryptocurrency.

2.5 Research Verification at Checkout

Prior to completing payment, all Members are required to complete a Research Verification

declaration for each Order, confirming:

(j) Their current professional registration number and institutional affiliation;

(k) That all Products in the Order are for Research Use only; and

(l) That they have read and agree to the RUO Disclaimer for this specific transaction.

This declaration is timestamped and retained by the Company as part of its compliance

records for a minimum of seven (7) years.

2.6 Intellectual Property

All content on the Website — including product descriptions, research summaries, branding,

images, and design — is the exclusive intellectual property of Heligenix Marketing Sdn. Bhd.

and is protected under the Copyright Act 1987 (Malaysia) and applicable international

conventions. No content may be reproduced, distributed, or used commercially without prior

written consent.

2.7 Warranties

The Company warrants that:

(m)All Products are of research-grade quality as described in the applicable Certificate

of Analysis (COA);

(n) All Products have been independently third-party tested for purity prior to dispatch;

and

(o) All Products are supplied in good faith for Research Use only.

All other warranties, conditions, and representations — express or implied — are excluded

to the fullest extent permitted by law. In particular, the Company makes no warranty as to

the suitability of any Product for any specific research purpose.

2.8 Termination of Purchase Rights

The Company may immediately suspend a Member’s purchasing rights and cancel all

outstanding Orders if:

• Any representation made at registration or checkout is found to be false or

misleading;

• The Member violates any provision of these Terms or the RUO Disclaimer;

• The Company reasonably suspects misuse of any Product; or

• The Member engages in conduct that brings the Company or the Peptivex brand into

disrepute.

In cases of suspension for breach, no refund shall be issued on cancelled Orders.

2.9 Governing Law

These Terms are governed by and construed in accordance with the laws of Malaysia.

Dispute resolution is subject to the provisions of Section 11 of this Suite.

2.10 Amendments

The Company reserves the right to amend these Terms at any time. Amendments take

effect upon publication on the Website. Members’ continued use of the Website following

publication constitutes acceptance of the amended Terms.
